END USER LICENSE AGREEMENT

IMPORTANT — READ CAREFULLY: ThisEnd User License Agreement ("EULA," "License," or"Agreement") is a legal agreement between You (either an individualor an entity, who will be referred to in this License as "You" or"Your") and Patriot Documents Inc. ("Patriot Documents,""we," "us," or "our") for the use of Lintra PDFEditor software application, and which may include associated media, printedmaterials, and other components and software modules including but not limitedto drivers (collectively, the "Product"). The Product also includesany software updates and upgrades that Patriot Documents may provide to You ormake available to You, or that You obtain after the date You obtain Yourinitial copy of the Product, to the extent that such items are not accompaniedby a separate license agreement or terms of use.

The most current version ofthis Agreement is always available at https://getlintra.com/eula. In the eventof any conflict between the version of this Agreement included with the Productand the version posted on the website, the version posted on the website shallprevail.

BY INSTALLING, COPYING,DOWNLOADING, ACCESSING OR OTHERWISE USING THE PRODUCT, YOU AGREE TO BE BOUND BYTHE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THISAGREEMENT, YOU HAVE NO RIGHTS TO THE PRODUCT AND SHOULD NOT INSTALL, COPY,DOWNLOAD, ACCESS OR USE THE PRODUCT. YOUR INSTALLATION OR USE OF THE PRODUCTCONSTITUTES AN ELECTRONIC ACCEPTANCE OF THIS AGREEMENT AND SHALL HAVE THE SAMEFORCE AND EFFECT AS IF YOU HAD SIGNED THIS AGREEMENT.

You represent and warrant thatYou are of legal age to enter into a binding agreement in Your jurisdiction(or, if You are not, that You have obtained the consent of a parent or legalguardian) and that You have the legal capacity and authority to enter into thisAgreement.

The Product is protected bylaw, including but not limited to the copyright laws of the United States andother countries/regions, and by international treaty provisions. THE PRODUCT ISLICENSED AND NOT SOLD. This License confers no title or ownership in theProduct and should not be construed as a sale of any rights in the Product.Except as expressly stated herein, this Agreement does not grant You anyintellectual property rights in the Product. All rights not expressly grantedare reserved by Patriot Documents and its licensors.

1. GRANT OF LICENSE.Patriot Documents grants You a non-exclusive, nontransferable,non-sublicensable license to install and use the Product subject to all theterms and conditions set forth herein. As used in this Agreement: (a)"Permitted Number" means the number of copies or instances of theProduct authorized under Your license purchase, as specified in the applicableordering document, invoice, or license key; and (b) "CompatibleComputer" means a computer or device that meets the minimum system requirementsfor the Product as published by Patriot Documents.

1.1. Single-Use PerpetualLicense. You may permit a single authorized end user to install the Producton a single computer or a virtual machine for use by that end user only. Avirtual machine with a single-user license of the Product shall not be copiedor shared without the prior written consent of Patriot Documents. Remote accessto the Product is not permitted without the express written consent of PatriotDocuments. The Single-Use Perpetual License cannot be used in any multi-userenvironment, such as a terminal server. For multi-user environments, You mustacquire a multi-user license or site license from Patriot Documents.

1.2. Single-Use TermLicense. Same usage terms as the Single-Use Perpetual License. The periodof use is limited to a fixed duration, after which the Product must beuninstalled from the computer unless the license is renewed for an additionalperiod of time.

1.3. Subscription License.If applicable, the Product may be licensed on a monthly or yearly subscriptionbasis. You may only apply the subscription license on the Permitted Number ofCompatible Computer(s) as long as You maintain a currently paid-up subscriptionof the Product.

1.4. Volume and SiteLicenses. Patriot Documents may offer volume or site licenses underseparate terms. Such licenses will be governed by the specific terms agreedupon between You and Patriot Documents at the time of purchase.

2. ADDITIONAL LIMITATIONS.

2.1. You may not reverseengineer, decompile, or disassemble the Product, except and only to the extentthat it is expressly permitted by applicable law notwithstanding thislimitation. Specifically, You may not:

a) create, use, share and/or publish by any means in relationto the Product any material (text, words, images, sounds, videos, etc.) whichwould constitute a breach of a duty of confidentiality, infringe anyintellectual property right or an individual's right to privacy or which wouldincite the committing of an unlawful act (including piracy, cracking orcirculation of counterfeit software);

b) modify, distort, block, abnormally burden, disrupt, slowdown and/or hinder the normal functioning of all or part of the Product, ortheir accessibility to other users, or the functioning of the partner networksof the Product, or attempt to do any of the above;

c) transmit any virus, trojan horse, worm, bomb, corruptedfile and/or similar destructive device or corrupted data in relation to theProduct, and/or organize, participate in or be involved in any way in an attackon Patriot Documents' servers and/or the Product and/or those of its serviceproviders and partners;

d) harass or threaten any other users of the Product, or tryto access other users' systems without prior consent;

e) make inappropriate use of the help service or the claimbuttons or send untruthful reports to members of Patriot Documents' personnel;

f) fraudulently claim to be an employee or representative ofPatriot Documents or its partners and/or agents;

g) fraudulently claim an endorsement annexed with the Productor with Patriot Documents;

h) publish, copy, rent, lease, or lend the Product.

2.2. The Product islicensed as a single integral product; its component parts may not be separatedfor use on more than one computer. The Product may include copy protectiontechnology to prevent the unauthorized copying of the Product or may requireoriginal media for use of the Product on the computer. It is illegal to makeunauthorized copies of the Product or to circumvent any copy protectiontechnology included in the Product. The Product may not be resold either by Youor a third party without the prior written permission of Patriot Documents. Allrights not expressly granted to You are retained by Patriot Documents.

2.3. While using theProduct, You agree to comply with all applicable laws, rules and regulations.You also agree to comply with certain rules of conduct that govern Your use ofthe Product, which are not meant to be exhaustive and can be modified at anytime by Patriot Documents. In all cases, You may only use the Product accordingto its anticipated use.

2.4. EDUCATIONAL USE. Ifthe license to the Product You have received with this Agreement is limited toeducational use (received by virtue of Your participation in a program designedfor educational or research institutions, or is provided by Patriot Documentsto You under some other arrangement), You are not entitled to use the Productunless You are an employee or student of an educational or researchinstitution. Under such circumstances, the Product may be used for educationaland research purposes only, where commercial or general production use isspecifically prohibited.

2.5. A Single-UsePerpetual License allows activation on up to the Permitted Number of computers.

3. PAYMENT TERMS AND REFUNDPOLICY.

3.1. Unless explicitlyset forth in this Agreement or in a separate refund policy published by PatriotDocuments, all fees and other amounts due under this Agreement arenon-cancelable and non-refundable. Unless otherwise agreed to by the parties,You shall pay all fees or amounts within thirty (30) days of the date of theinvoice. Late payments shall incur interest at the rate of 1.5% per month (orthe highest rate permitted under applicable law, whichever is lower) on anyoutstanding balance.

3.2. Subscription LicensePayment Terms. If You have purchased a subscription license, Yoursubscription begins at the moment of processing Your order/invoice or otherwisefrom a date mutually agreed. YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THEEND OF EACH SUBSCRIPTION PERIOD UNLESS YOU CANCEL PRIOR TO THE RENEWAL DATE.You authorize Patriot Documents to store Your payment method(s) and toautomatically charge Your payment method the then-current rate for Yoursubscription, plus applicable Taxes, until You cancel. Renewal notice will beprovided where required by applicable law. To cancel automatic renewal, You maysubmit a cancellation request to support@getlintra.com or through Your accountportal.

4. TAXES. The fees andall other amounts due as set forth in this Agreement are net amounts to bereceived by Patriot Documents, exclusive of all taxes, duties, and assessments,including without limitation all sales, withholding, VAT, excise, ad valorem,and use taxes (collectively, the "Taxes"), and are not subject tooffset or reduction because of any Taxes incurred by You or otherwise due as aresult of this Agreement. You shall be responsible for and shall pay directlyany and all Taxes relating to the performance of this Agreement, provided thatthis paragraph shall not apply to taxes based solely on Patriot Documents'income.

5. CONSENT TO USE OF DATA.

5.1. The Product maycontact a Patriot Documents or third-party server periodically to check forsoftware updates, validate license activation, and apply vulnerability fixes.

5.2. The Product maycollect certain usage information and technical data (including but not limitedto: device information, operating system version, Product version, and licenseactivation data) to support the integrity of features and enhance the quality ofthe Product. We may also collect Your IP address and device information when itis reasonably needed for providing necessary services to You, or when Youconsent to providing such information, and only to the extent as allowed byapplicable laws. For example, Patriot Documents will collect certain hardwareidentifiers to implement the activation function and other related functions.

5.3. You agree thatPatriot Documents and its affiliates may collect and use information Youprovide as a part of any support services related to the Product. Youacknowledge that such use of Your data includes processing and fulfilling Yourorders for the Product, improving the Product, and providing information to Youabout the Product. You acknowledge that Patriot Documents or its affiliates mayshare Your data with their partners or suppliers under applicable laws. Youalso acknowledge that Patriot Documents or its affiliates may share data thatis anonymized and aggregated with third parties. Patriot Documents agrees notto use this information in a form that personally identifies You. Collection ofthis information occurs in accordance with the Patriot Documents PrivacyPolicy, available at https://getlintra.com/privacy-policy.

6. INTELLECTUAL PROPERTYRIGHTS. Subject to the license grant hereunder, all right, title andinterest in and to the Product, the accompanying printed materials, and anycopies of the Product are owned by Patriot Documents and its licensors. Thestructure, organization and source code of the Product are trade secrets andconfidential information of Patriot Documents and/or its licensors.

7. EXPORT CONTROLCOMPLIANCE. You agree to comply with all applicable foreign, federal, stateand local laws and regulations governing Your use of the Product. Withoutlimiting the foregoing, You will comply with all applicable U.S. and non-U.S.economic sanctions and export control laws and regulations, including but notlimited to the economic sanctions regulations implemented under statutoryauthority and/or Executive Orders and administered by the U.S. and othercountries. You shall not violate the U.S. Commerce Department's ExportAdministration Regulations (15 C.F.R. Part 730 et seq.); the Product may not beexported or re-exported to certain countries or to persons or entitiesprohibited from receiving U.S. exports (including those (a) on the Bureau ofIndustry and Security Denied Parties List or Entity List, (b) on the Office ofForeign Assets Control list of Specially Designated Nationals and BlockedPersons, and (c) involved with missile technology or nuclear, chemical orbiological weapons). Any license granted to You shall be automaticallyterminated immediately whenever You act in violation of any representation orwarranty mentioned above.

8. WARRANTY.

8.1. LIMITED WARRANTY ONMEDIA. PATRIOT DOCUMENTS warrants that any media on which the Product isdistributed shall be free from material defects for a period of thirty (30)calendar days from the date of receipt of the License. If You discover a defectin the media during this thirty (30) day period, You may return the defectivemedia to Patriot Documents within fifteen (15) calendar days of discovering thedefect, and Your sole remedy shall be to have the defective media replaced.

8.2. NO WARRANTY ON PRODUCT.THE PRODUCT IS PROVIDED TO YOU "AS IS." PATRIOT DOCUMENTS, ANDPATRIOT DOCUMENTS' LICENSORS AND SUPPLIERS, MAKE NO WARRANTY AS TO ITS USE ORPERFORMANCE. PATRIOT DOCUMENTS, AND PATRIOT DOCUMENTS' LICENSORS AND SUPPLIERS,MAKE NO REPRESENTATIONS, WARRANTIES, CONDITIONS, OR TERMS (EXPRESS OR IMPLIED,WHETHER BY STATUTE, COMMON LAW, CUSTOM, USAGE, COURSE OF DEALING, TRADEPRACTICE OR OTHERWISE) AS TO THE PRODUCT, INCLUDING WITHOUT LIMITATION TITLE,NON-INFRINGEMENT OF THIRD PARTY RIGHTS, MERCHANTABILITY, SATISFACTORY QUALITYOR FITNESS FOR ANY PARTICULAR PURPOSE, EXCEPT FOR, AND ONLY TO THE EXTENT THAT,ANY SUCH REPRESENTATION, WARRANTY, CONDITION OR TERM MAY NOT BE EXCLUDED ORLIMITED BY APPLICABLE LAW IN YOUR JURISDICTION.

8.3. Warranty Disclaimer.Other than the warranty set forth in Section 8.1 above, and to the maximumextent permitted by applicable law, Patriot Documents, its authorized resellersand their subsidiaries provide the Product and any support services related tothe Product ("Support Services") AS IS AND WITH ALL FAULTS, andhereby disclaim all other warranties and conditions, either express, implied orstatutory, including, but not limited to, any implied warranties, duties orconditions of merchantability, of fitness for a particular purpose, of accuracyor completeness of responses, of results, of workmanlike effort, of lack ofviruses, and of lack of negligence, all with regard to the Product, and theprovision of or failure to provide Support Services.

9. LIMITATIONS OF LIABILITYAND REMEDIES.

9.1. TO THE MAXIMUMEXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PATRIOT DOCUMENTS, ITSAUTHORIZED RESELLERS, OR THEIR SUBSIDIARIES BE LIABLE FOR ANY SPECIAL,INCIDENTAL, INDIRECT, PUNITIVE OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING,BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS OR CONFIDENTIAL OR OTHERINFORMATION, FOR BUSINESS INTERRUPTION, FOR PERSONAL INJURY, FOR LOSS OFPRIVACY, FOR FAILURE TO MEET ANY DUTY INCLUDING OF GOOD FAITH OR OF REASONABLECARE, FOR NEGLIGENCE, AND FOR ANY OTHER PECUNIARY OR OTHER LOSS WHATSOEVER)ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THEPRODUCT, THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES, OR OTHERWISEUNDER OR IN CONNECTION WITH ANY PROVISION OF THIS LICENSE, EVEN IN THE EVENT OFTHE FAULT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, BREACH OF CONTRACT ORBREACH OF WARRANTY OF PATRIOT DOCUMENTS, EVEN IF PATRIOT DOCUMENTS HAS BEENADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.2. Notwithstanding anydamages that You might incur for any reason whatsoever (including, withoutlimitation, all damages referenced above and all direct or general damages),the entire liability of Patriot Documents, its resellers and their subsidiariesunder any provision of this License and Your exclusive remedy for all of theforegoing shall be limited to the amount actually paid by You for the Product.The foregoing limitations, exclusions and disclaimers shall apply to themaximum extent permitted by applicable law, even if any remedy fails itsessential purpose.

9.3. THE FOREGOINGLIMITATIONS AND EXCLUSIONS APPLY TO THE EXTENT PERMITTED BY APPLICABLE LAW INYOUR JURISDICTION. THIS LIMITATION OF LIABILITY MAY NOT BE VALID IN SOMEJURISDICTIONS. YOU MAY HAVE RIGHTS THAT CANNOT BE WAIVED UNDER CONSUMERPROTECTION AND OTHER LAWS. PATRIOT DOCUMENTS DOES NOT SEEK TO LIMIT ITSWARRANTY OR REMEDIES TO ANY EXTENT NOT PERMITTED BY LAW.

10. COMPLIANCE ANDINSPECTION. If You are a business, company or organization, You agree thatupon prior request from Patriot Documents or its authorized representative, Youwill within thirty (30) days fully document and certify that use of any and allProducts at the time of the request is in conformity with Your valid licensesfrom Patriot Documents. Patriot Documents is also granted a right to inspectYour records, systems and worksite to verify that the installation and use ofthe Product does not violate any license from Patriot Documents. If theinspection process reveals any non-compliance with the license, You are obligedto purchase additional licenses and bear the reasonable fee for suchinspection.

11. INDEMNITY.

11.1. You are solelyresponsible for any damage caused to Patriot Documents, its licensors, channelpartners and associated service providers and subcontractors, other users ofthe Product or any other individual or legal entity as a result of Yourviolation of this Agreement.

11.2. YOU HEREBY AGREETO DEFEND, INDEMNIFY AND HOLD HARMLESS PATRIOT DOCUMENTS AND ITS AFFILIATES,THEIR LICENSORS, CHANNEL PARTNERS AND ASSOCIATED SERVICE PROVIDERS AND THEIRSUBCONTRACTORS AGAINST ANY CLAIM OR ALLEGED CLAIMS, LIABILITIES, LOSSES,DAMAGES AND ALL COSTS (INCLUDING ATTORNEYS' FEES), DIRECTLY OR INDIRECTLYATTRIBUTABLE TO YOUR FAULT AND/OR RESULTING FROM (A) A VIOLATION OF ANYPROVISION OF THIS AGREEMENT OR (B) YOUR USE OR MISUSE OF THE PRODUCT. PatriotDocuments reserves the right to take sole responsibility, at its own expense,for conducting the defense of any claim for which You agreed to indemnifyPatriot Documents. The provisions of this Section 11 shall remain in forceafter termination of this Agreement.

11.3. PATRIOT DOCUMENTSHEREBY AGREES TO DEFEND, INDEMNIFY, AND HOLD YOU HARMLESS FROM ANY CLAIM ORALLEGED CLAIMS, LIABILITIES, LOSSES, DAMAGES AND ALL COSTS (INCLUDINGATTORNEYS' FEES) RESULTING FROM ANY THIRD PARTY ACTION BROUGHT AGAINST YOUBASED ON A CLAIM THAT THE PRODUCT INFRINGES A PATENT, COPYRIGHT, OR OTHERPROPRIETARY RIGHT OF ANY THIRD PARTY. IN THE EVENT OF SUCH A CLAIM, PATRIOTDOCUMENTS SHALL, IN ADDITION TO SUCH INDEMNIFICATION, (A) OBTAIN THE RIGHT FORYOU TO CONTINUE THE USE OF THE PRODUCT, OR (B) REPLACE OR MODIFY THE AFFECTEDPORTION OF THE PRODUCT TO RENDER IT NON-INFRINGING WHILE RETAINING LIKECAPABILITY. PATRIOT DOCUMENTS' INDEMNIFICATION OBLIGATIONS FOR INFRINGEMENTSHALL NOT APPLY TO THE EXTENT A CLAIM IS CAUSED BY (A) YOUR MODIFICATIONS OFTHE PRODUCT, WHERE THE CLAIM WOULD NOT HAVE ARISEN BUT FOR THE MODIFICATIONS;OR (B) USE OR COMBINATION OF THE PRODUCT WITH OTHER PRODUCTS, WHERE SUCHCOMBINATION WAS NOT REASONABLY FORESEEABLE, AND THE CLAIM WOULD NOT HAVE ARISENBUT FOR THE COMBINATION.

12. TERMINATION.

12.1. This Agreement iseffective from the earlier of the date You purchase, download or use theProduct, until terminated according to its terms. You and Patriot Documents mayterminate this Agreement at any time for any reason. Termination by PatriotDocuments will be effective upon (a) notice to You or (b) termination of Youraccount (if any) or (c) at the time of Patriot Documents' decision todiscontinue offering and/or supporting the Product. This Agreement willterminate automatically if You fail to comply with any of the terms andconditions of this Agreement. Upon termination for any reason, You mustimmediately uninstall the Product and destroy all copies of the Product in Yourpossession.

12.2. Upon terminationof this Agreement, all licenses granted hereunder to You will terminate and Youshall promptly cease using and remove the Product from Your devices. You willnot be entitled to receive any refund of any payments made to Patriot Documentsprior to termination unless Patriot Documents terminates this Agreement withoutcause. Under such circumstance, Your payment will be refunded pro rata. Theprovisions of Sections 4 (Taxes), 5 (Consent to Use of Data), 6 (IntellectualProperty Rights), 8 (Warranty), 9 (Limitations of Liability), 11 (Indemnity),15 (General), and 18 (Amendments), and any other right or obligation of theparties in this Agreement that by its nature shall survive termination orexpiration of this Agreement, will survive termination and expiration hereof.

13. MAINTENANCE AND SUPPORT.

13.1. MAINTENANCE.Patriot Documents agrees to provide maintenance and support services to Youpursuant to the terms and conditions set forth herein, provided that You paythe applicable maintenance fee or subscription fee for the Product. Maintenancewill be provided as long as a subscription or maintenance term is active andpaid-up, unless otherwise agreed to by the parties in writing.

13.1.1. SUPPORT. PatriotDocuments will provide email support to You for current versions of theProduct. Patriot Documents will investigate all of Your questions and problemspromptly. You agree to provide adequate information to Patriot Documents toassist in the investigation and to confirm that any problems have beenresolved. Patriot Documents does not provide guaranteed response times but willmake good faith efforts to respond in a timely manner during business days.

13.1.2. UPDATES. PatriotDocuments will supply to You, at no additional charge during an activemaintenance period, any improvements or modifications to the Product thatPatriot Documents makes generally available as a minor release. Any suchimprovements or modifications shall become part of the Product for all purposesof this Agreement.

13.1.3. The maintenanceto be provided by Patriot Documents hereunder is limited to the most currentmajor version of the Product and the immediately preceding major version(s).

13.2. EXCLUSIONS.Patriot Documents' obligation to provide support is contingent upon proper useof the Product and full compliance with this Agreement. Patriot Documents shallbe under no obligation to provide support should such services be required dueto (a) failure to operate the Product within the system requirements providedfor the Product, (b) any modification or attempted modification of the Productby You or any third party, or (c) Your failure or refusal to implement Productchanges recommended by Patriot Documents.

14. DISCONTINUING ORMODIFYING SERVICES. Patriot Documents has the right to discontinue themanufacture and development of the Product and the support for the Product, inits sole discretion, at any time, provided that Patriot Documents agrees not todiscontinue support for the Product during the current annual term of thisAgreement, subject to the termination provisions herein. Patriot Documentsreserves the right to alter or discontinue support in its sole discretion butwill undertake to inform You of any material change.

15. GENERAL.

15.1. GOVERNING LAW.This Agreement will be governed by and construed in accordance with the laws ofthe State of Nevada excluding that body of laws known as conflicts of law. TheUnited Nations Convention on Contracts for the International Sale of Goods willnot apply.

15.2. JURISDICTION. Anylegal action or proceeding arising under this Agreement will be broughtexclusively in the federal or state courts located in the State of Nevada, andthe parties hereby irrevocably consent to the personal jurisdiction and venuetherein.

15.3. ASSIGNMENT. Youmay not assign this Agreement or any right or interest hereunder, by operationof law or otherwise, without Patriot Documents' express prior written consent.Any attempt to assign this Agreement without such consent will be null and ofno effect. Subject to the foregoing, this Agreement will bind and inure to thebenefit of each party's successors and permitted assigns.

15.4. Except asexpressly set forth in this Agreement, the exercise by either party of any ofits remedies under this Agreement will be without prejudice to its otherremedies under this Agreement or otherwise.

15.5. SEVERABILITY. Iffor any reason a court of competent jurisdiction finds any provision of thisAgreement invalid or unenforceable, that provision of the Agreement will beenforced to the maximum extent permissible and the other provisions of thisAgreement will remain in full force and effect.

15.6. NOTICE. Allnotices or approvals required or permitted under this Agreement will be inwriting and delivered by confirmed electronic transmission, by overnightdelivery services, or by certified mail, and in each instance will be deemedgiven upon receipt. All notices or approvals will be sent to the addresses setforth in the applicable ordering document or invoice or to such other addressas may be specified by either party to the other in accordance with thissection.

15.7. FORCE MAJEURE.Neither party will be responsible for any failure or delay in its performanceunder this Agreement (except for any payment obligations) due to causes beyondits reasonable control, including, but not limited to, labor disputes, strikes,lockouts, shortages of or inability to obtain labor, energy or supplies, war,terrorism, riot, natural disasters, pandemics, or acts of God.

15.8. NO WAIVER. Thefailure by either party to enforce any provision of this Agreement will notconstitute a waiver of future enforcement of that or any other provision.

15.9. ENTIRE AGREEMENT.This Agreement constitutes the entire and exclusive agreement between theparties concerning its subject matter and supersedes all prior written and oralunderstandings and agreements between the parties regarding its subject matter.The terms and conditions contained in any customer purchase order or otherordering document that are inconsistent with or in addition to the terms andconditions of this Agreement are hereby rejected by Patriot Documents and willbe deemed null and of no effect.

16. THIRD PARTY SOFTWARE.You acknowledge and agree that Patriot Documents may make third-party productsand/or services (including plug-ins and extensions) available to You throughthe Product. Third-party products and services are not the Product defined inthis Agreement, and any use of or access to such third-party products andservices will only entail You being bound by all applicable third-party termsand conditions, with which You shall be solely responsible for Your compliance.

16.1. The Productincorporates technology licensed from third-party licensors. Such third-partytechnology is an integral part of the Product and is subject to the terms ofthis Agreement. Patriot Documents disclaims all warranties and conditions,express or implied, on behalf of such third-party licensors, and excludes allliability for damages on behalf of such third-party licensors. Any provisionsin this Agreement that differ from such third parties' terms are offered byPatriot Documents alone and not by such third parties. The third-partylicensors are intended third-party beneficiaries of this Agreement to theextent necessary to protect their intellectual property rights in the Product.

17. SPECIAL APPLICATION.This section sets forth specific provisions related to the Product as well aslimited exceptions to the above terms and conditions. To the extent that anyprovision in this section is in conflict with any other term or condition inthis Agreement, the terms stated in this section will supersede such other termor condition.

17.1. NOTICE TO U.S.GOVERNMENT END USERS.

17.1.1. For contractswith agencies of the Department of Defense, the Government's rights in: (a)commercial computer software and commercial computer software documentationshall be governed, pursuant to 48 C.F.R. 227.7201 through 227.7202-4, byPatriot Documents' standard commercial license(s) for the respectiveproduct(s); (b) software and software documentation other than commercialcomputer software and commercial computer software documentation shall begoverned by 48 C.F.R. 252.227-7014; (c) technical data for commercial itemsother than software or software documentation shall be governed by 48 C.F.R.252.227-7015(b); and (d) technical data for non-commercial items other thansoftware or software documentation shall be governed by 48 C.F.R. 252.227-7013.

17.1.2. For contractswith U.S. Government agencies other than the Department of Defense agencies,the Government's rights in: (a) commercial computer software and commercialcomputer software documentation shall be governed, pursuant to 48 C.F.R. 2.101and 12.212, by Patriot Documents' standard commercial license(s) for therespective product(s); (b) software and software documentation other thancommercial computer software and commercial computer software documentationshall be governed by 48 C.F.R. 52.227-14, Alternative III; and (c) technicaldata other than software and software documentation shall be governed by 48C.F.R. 52.227-14 including, where applicable, Alternatives I or II.

17.2. NOTICE TO EUROPEANECONOMIC AREA END USERS.

17.2.1. PAYMENT. Youaccept the Patriot Documents Refund Policy (as published athttps://getlintra.com/refund-policy, or as otherwise communicated by PatriotDocuments). Unless explicitly set forth in this Agreement, all fees and otheramounts due under this Agreement are non-cancelable and non-refundable. Unlessotherwise agreed to by the parties, You shall pay all fees or amounts withinthirty (30) days of the date of the invoice. In case of any late payment duehereunder by You, You shall pay Patriot Documents interest on the unpaid amountuntil such payment is paid in full. The default rate of interest is ninepercentage points (9%) above the basic rate of interest applied by the EuropeanCentral Bank to its most recent main refinancing operation carried out beforethe first calendar day of the half-year in question. For European Member Stateswhich are not participating in the third stage of economic and monetary union,the basic rate of interest referred to above shall be the equivalent rate setby its national central bank.

17.2.2. TERMINATION.

17.2.2.1. By Notice. The Parties are entitled toterminate the Agreement at any time upon three (3) months' prior written noticefor any reason.

17.2.2.2. Termination for Cause. The Parties mayterminate this Agreement by notice at any time during the Term as follows:

(a) If one of the Parties is in breach of any materialobligation hereunder by causes and reason within its control, or has breachedin any material respect any representations or warranties set forth herein, andhas not cured such breach within (i) thirty (30) business days in case thebreach is a non-payment of any amount due under this Agreement, and (ii) thirty(30) business days for other cases of breach, after notice requesting cure ofthe breach; provided, however, that if a breach other than a non-payment is notcapable of being cured within thirty (30) days of such written notice, theAgreement may not be terminated sooner than forty-five (45) days so long as thebreaching Party commences and is taking commercially reasonable actions to curesuch breach as promptly as practicable;

(b) Upon the filing or institution of reorganization,liquidation, receivership proceedings, or upon an assignment of a substantialportion of the assets for the benefit of creditors by one of the Parties;provided, however, in the case of any involuntary reorganization, liquidation,receivership or assignment proceedings, such right to terminate shall onlybecome effective if the Party consents to the involuntary proceeding or suchproceeding is not dismissed within thirty (30) days after the filing thereof.

17.2.3. WARRANTY.

17.2.3.1. This Agreementwill not prejudice the statutory rights of any party, including those dealingas consumers. If You obtained the Product in the European Economic Area (EEA),You usually reside in the EEA and You are a consumer (that is, Your use of theProduct is for personal, non-business related purposes), then Section 8.1(LIMITED WARRANTY ON MEDIA) does not apply to Your purchase and use of theProduct. Instead, Patriot Documents warrants for a period of two (2) years frompurchase that the Product provides the functionalities set forth in theapplicable documentation (the "agreed upon functionalities") whenused on the Compatible Computer. Non-substantial variation from the agreed uponfunctionalities will not establish any warranty rights. THIS WARRANTY DOES NOTAPPLY TO PRODUCT THAT YOU USE ON A PRE-RELEASE, TRYOUT, STARTER, OR PRODUCTSAMPLER BASIS, OR TO THE EXTENT THE PRODUCT FAILS TO PERFORM BECAUSE IT HASBEEN ALTERED BY YOU. To make a warranty claim, You must notify Patriot Documentsduring this period, providing details and proof of purchase of the Product. Ifthere is a defect in the Product, You may request from Patriot Documents eithera refund or a repaired or replacement copy of the Product. In the event Yourwarranty claim is substantiated, Patriot Documents will meet Your request forrepaired or replacement Product, unless it is not reasonable for PatriotDocuments to do so, in which case Patriot Documents will provide You with arefund.

17.2.3.2. Please notethat the provisions of Section 8 will continue to apply to any damage claimsYou make in respect of Your use of the Product. Nonetheless, Patriot Documentsshall be liable for direct losses that are reasonably foreseeable in the eventof a breach by Patriot Documents of this Agreement. You are advised to take allreasonable measures to avoid and reduce damages, in particular by makingback-up copies of the Product and Your computer data.

17.2.4. AUTOMATIC RENEWALPOLICY FOR EEA CONSUMERS. If You obtain the Product in the EuropeanEconomic Area (EEA), You usually reside in the EEA and You are a consumer (thatis, Your use of the Product is for personal, non-business related purposes),then Section 3.2 (Subscription License Payment Terms) does not apply to Yourpurchase and use of the Product. Instead, auto-renewals of existing and futurecontracts are only permissible if the contract is extended for an indefiniteperiod of time and at the same time the consumer is granted the right toterminate the extended contract at any time with a notice period of no morethan one month.

17.2.5. GOVERNING LAW ANDJURISDICTION. For end users in the EEA, this Agreement will be governed byand construed in accordance with German law, excluding that body of laws knownas conflicts of law. The United Nations Convention on Contracts for theInternational Sale of Goods will not apply. Any legal action or proceedingarising under this Agreement will be brought exclusively in the German courts,and the parties hereby irrevocably consent to the personal jurisdiction andvenue therein.

17.2.6. This Agreement,and in particular this Section 17.2, is intended to describe Your rights(including Your statutory rights) in the event there should be problems withYour use of the Product. If Your statutory rights are greater than thisdescription, Your statutory rights shall apply.

17.2.7. Nothing includedin this Agreement shall limit any non-waivable right to decompile the Productthat You may enjoy under applicable law. For example, if You are located in theEuropean Union (EU), You may have the right upon certain conditions specified inthe applicable law to decompile the Product if it is necessary to do so inorder to achieve interoperability of the Product with another software program,and You have first asked Patriot Documents in writing to provide theinformation necessary to achieve such interoperability and Patriot Documentshas not made such information available. In addition, such decompilation mayonly be performed by You. Patriot Documents has the right to impose reasonableconditions before providing such information. Any information supplied byPatriot Documents or obtained by You, as permitted hereunder, may only be usedby You for the purpose described herein and may not be disclosed to any thirdparty or used to create any software that is substantially similar to theexpression of the Product or used for any other act that infringes thecopyright of Patriot Documents or its licensors.

18. AMENDMENTS.

18.1. Patriot Documentsmay make changes to this Agreement from time to time. Patriot Documents willrevise the date at the top of this Agreement if it is amended.

18.2. Notice of Changes.Patriot Documents will notify You of any material changes to this Agreement atleast fourteen (14) days before the changes take effect. Notification will beprovided by posting the updated Agreement on the Patriot Documents website(https://getlintra.com/eula) and, where practicable, by email to the addressassociated with Your account or by in-product notification. You should checkthis Agreement regularly.

18.3. Changes Affecting YourRights. For changes that materially affect Your rights or obligations —including but not limited to changes in subscription models, payment terms orbilling cycles, license scope or restrictions, or the addition or expansion ofpersonal data processing — Patriot Documents will provide explicit notice viaemail and/or in-product notification and, where required by applicable law,will seek Your affirmative consent before such changes take effect.

18.4. Deemed Acceptance.Unless otherwise noted or where affirmative consent is required under Section18.3 or applicable law, the amended Agreement will become effective at the endof the fourteen (14) day notice period, and Your continuing use of the Productafter that date will be deemed Your acceptance of the changes. If You do notagree to the amended Agreement, You should immediately cease Your use of theProduct and, where applicable, cancel Your subscription before the changes takeeffect.

18.5. Regional Variations.In jurisdictions where deemed acceptance through continued use is not legallyrecognized or enforceable (including certain EEA Member States), PatriotDocuments will obtain Your explicit consent to material changes through anappropriate mechanism (such as a click-through confirmation or writtenacceptance) before the amended terms apply to You.
